Why did a U-boat sink the Argentine merchantman Uruguay in May 1940?

What reason did Germany give for sinking the Argentine-registered merchantman "Uruguay" on 27 May 1940, 136 miles from Cabo Villano in northern Spain?
She would appear to have been a neutral ship loaded with wheat in transit from neutral Argentina, via neutral Spain, to neutral Southern Ireland.
Yet a party from U-37 boarded her, set charges and sank her.
Presumably the Germans felt they had some justification for this action, which on the face of it looks like blatant piracy, but what was it?
