"had used up all of his torpedoes" - that seems FAR more likely to me.
I find it difficult to imagine that ANY U-Boat commander would have turned down a golden opportunity to torpedo a troopship. It is NOT a matter of chivalry.
U-35 did not torpedo the AQUITANIA on 30 September 1939 - very early in the war - simply because the rules of engagement had not yet allowed it. AQUITANIA passed a mere 500 meters in front of U-35, and Werner Lott (a model of chivalry) even questioned the wisdom of his decision in the KTB. Within two days, new rules of engagement were communicated to the U-Boats and Lott looked back in envy.

Am looking forward to the full story of the Queen Mary's encounter with the U-Boat...
